Welcome to Springital. These Terms and Conditions govern your use of our WhatsApp AI Sales Agent service. By using our service, you agree to these terms.

1. Service Description

Springital provides an AI-powered sales agent that operates through WhatsApp to help businesses automate customer conversations, handle inquiries, and process sales. Our service includes:

• WhatsApp Business Account setup and management
• AI-powered automated responses
• Payment collection integration via Paystack
• Conversation analytics and reporting

2. Account Registration

To use our service, you must:

• Be at least 18 years old
• Provide accurate and complete business information
• Have a valid Nigerian business or be operating legally in Nigeria
• Have a valid phone number for WhatsApp Business registration

3. Fees and Payment

Setup Fee: A one-time setup fee of ₦50,000 is required to activate your AI Sales Agent. This includes:

• 200 conversations for testing
• Full AI agent configuration
• Up to 3 services/products configured
• Paystack payment integration

Monthly Packages: After the initial 200 conversations, you must subscribe to a monthly package based on your conversation volume.

Transaction Fee: A 3% fee applies to all transactions processed through the AI agent.

All fees are non-refundable once the service has been activated.

4. Acceptable Use

You agree NOT to use our service for:

• Sending spam or unsolicited messages
• Illegal activities or promoting illegal products/services
• Harassment, abuse, or threatening communications
• Fraudulent or deceptive practices
• Violating WhatsApp's Terms of Service or Meta's policies
• Activities that could damage our reputation or service

5. WhatsApp Compliance

Your use of our service must comply with:

• WhatsApp Business API Terms of Service
• Meta Platform Policies
• WhatsApp Business Messaging Policy

Violation of these policies may result in immediate termination of your service without refund.

6. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We are not liable for any losses resulting from service interruptions caused by:

• WhatsApp/Meta platform issues
• Internet connectivity problems
• Scheduled maintenance (we will provide advance notice)
• Force majeure events

7. Intellectual Property

All content, software, and technology used in our service remain the property of Springital. You retain ownership of your business data and content provided to us for AI training.

8. Limitation of Liability

To the maximum extent permitted by law, Springital shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits or business opportunities
• Damages exceeding the fees paid in the 3 months preceding the claim

9. Termination

Either party may terminate this agreement:

• With 30 days written notice
• Immediately for material breach
• Immediately for violation of acceptable use policies

Upon termination, your access to the service will be disabled, and your data will be retained for 30 days before deletion.

10. Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Lagos State, Nigeria.

11. Changes to Terms

We may modify these terms at any time. Continued use of the service after changes constitutes acceptance of the modified terms.
